ITEM 2.02. Results of Operations and Financial Condition.

On May 23, 2013, Hannon Armstrong Sustainable Infrastructure Capital, Inc. (the “Company”) issued an earnings release announcing its financial results for the quarter ended March 31, 2013. A copy of the earnings release is attached as Exhibit 99.1 hereto and incorporated herein by reference.

In addition, on May 23, 2013, the Company posted a presentation on the Investor Relations section of its website (www.hannonarmstrong.com) which includes a description of the Company’s business, industry, management and financial results.
